Key terms of the foreign trade contract for die-casting molds and key risk avoidance points for Party B
Customized molds have high costs and long cycles, and cross-border contract ambiguities can easily lead to claims and disputes. Xinfeng Machinery has sorted out the core risk clauses from the perspective of Party B.
1、 Drawing and version confirmation clauses
Clear: The drawings provided by the customer are the final version and will be frozen after written confirmation; Subsequent customers will proactively modify the drawings, separately calculate the mold modification fee, and extend the delivery date. Oral modifications are invalid. All changes will be processed through an ECN engineering change order and confirmed by signature/email. Many disputes arise from customers repeatedly changing the product structure in the later stage, but unwilling to bear the cost of mold modification. The cavity of the alloy wheel mold is complex, and the cost of mold modification is particularly high.
2、 Trial molding, acceptance criteria, and sample agreement
Agree on the number of trial mold times, the quantity of trial mold samples, and the criteria for judgment, distinguishing between "qualified mold structure" and "qualified casting process debugging". Mold acceptance based on drawings, cooling, exhaust, and motion performance; Casting defects are affected by the pressure casting machine, aluminum liquid, and process parameters, and cannot be entirely attributed to the mold. The acceptance period is agreed upon, and if the customer fails to arrange for acceptance after the deadline, it will be considered as default acceptance.
3、 Price, Payment, and Delivery Terms
Clearly state the scope of the quotation, including CAE, trial molds, samples, basic spare parts, and packaging; Excluding third-party testing, air freight sample fees, on-site on-site debugging fees. Clear payment milestones, including the proportion of deposit, progress payment, trial mold payment, and final payment; The starting point for delivery is based on the deposit received and the drawings frozen. If there is a delay in customer information or feedback, the delivery date will be automatically postponed.
4、 Scope of warranty, warranty exclusion items (most important)
The warranty only covers defects in mold processing, steel, and heat treatment; Clear exclusion: Improper parameters of the customer's die-casting machine, excessive impurities in aluminum material, poor control of recycled materials, improper operation, lack of maintenance, normal wear and tear of coatings, vulnerable parts (ejector pins, guide sleeves, seals), and damage caused by the customer's own mold modification. Quality assurance is based on the number of warranty cycles, and the upper limit of warranty cycles is agreed upon.
5、 Intellectual property, ownership, logistics responsibility
The ownership of the mold shall belong to the supplier before the full payment of the mold is made; Customers are prohibited from reselling or copying molds without authorization. The responsibility nodes for packaging and sea transportation are divided according to the trade terms FOB/DAP/CIF, and the responsibility boundaries for rust, collision, and customs clearance delay after arrival at the port are clearly defined. The low pressure casting mold is equipped with a liquid lifting tube and ceramic parts that are fragile, and the responsibility for damage is separately agreed upon. Google's "die casting mold contract terms" are suitable for foreign trade procurement and legal personnel.
FAQ
How to reply to the customer's request for unlimited free mold modification?
The contract specifies that after the drawings are frozen, any changes to the newly added products are considered as paid mold modifications.
How many trials are included in the quotation?
The industry standard is 1-2 trial molds, and if the number of trials exceeds the limit, a trial mold labor fee will be charged.
3. Are vulnerable parts included in the warranty?
Routine items are not included in the warranty and are considered consumable spare parts, sold separately.
What should I do if the customer refuses to pay the final payment due to poor castings?
The contract distinguishes between mold responsibility and process/equipment responsibility in advance.
5. Is the mold ownership retention clause valid?
Commonly used in cross-border trade to reduce the risk of customers defaulting on final payments.
6. Does the customer request free on-site overseas debugging?
If the quotation does not include travel and labor costs, please list them separately.
7. Does coating peeling count as warranty?
Normal production wear and tear does not belong to; Batch abnormal detachment of process defects will be defined separately.
8. Is there a warranty for low-pressure mold ceramic lift pipes?
Ceramic parts are consumables and are generally not covered by warranty.
